ACCEPTANCE OF TERMS

This Terms of Use agreement sets forth the terms and conditions for using the website PawsToTalk.com.

If you choose to use the PawsToTalk.com, or any of the features of this site, including but not limited to blogs, reader submissions, RSS, API, (the "Service"), you will be agreeing to abide by all of the terms and conditions of these Terms of Service between you and PawsToTalk.com, an Internet service of White Wolf Group.

This Terms of Use agreement constitutes a legally binding agreement between you and White Wolf Group, the operator of PawsToTalk.com. Please read this agreement carefully before using this website, registering for any services offered by PawsToTalk, making any purchases, or activating any account with PawsToTalk. By using the PawsToTalk website, you agree that you have read the Terms of Use agreement, understand it and agree to be bound by its terms and conditions, as we may amend from time to time and post. Likewise, your continued use of the PawsToTalk website after revisions have been posted indicates your acceptance of such revisions.

PRIVACY Policy

Your use of the PawsToTalk website is subject to the stipulations set forth in the PawsToTalk Privacy Policy. Pease review the Privacy Policy prior to sending any submissions or information to PawsToTalk. By using this website you agree to PawsToTalk collection, use and sharing of your information as set forth in the Privacy Policy.

CHILDREN

Although children under 13 may view the PawsToTalk website, we do not permit children under 13 to register for services, make purchases or order anything from the PawsToTalk website, its affiliates or linked websites. Likewise, children under 13 are not permitted to submit any photos, videos, stories, or any other materials to PawsToTalk without express written consent from their parent or guardian, also known as a COPPA release form. We encourage parents or guardians to supervise Internet activity of all children under 18.

PROPRIETARY RIGHTS

White Wolf Group owns all right, title and interest in and to the material appearing on the PawsToTalk website. All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of White Wolf Group or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this site is the exclusive property of White Wolf Group and protected by U.S. and international copyright laws. Any use of White Wolf Goup's trademarks, trade dress or copyrighted materials without our express permission is strictly forbidden.

PERMITTED USE

The contents of the PawsToTalk.com site are intended for your personal, noncommercial use. All materials published on PawsToTalk.com (including, but not limited to news articles, photographs, images, illustrations, audio clips and video clips, also known as the "Content") are protected by copyright, and owned or controlled by White Wolf Group, PawsToTalk.com, or the party credited as the provider of the Content. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Service.

USER CONDUCT and PUBLIC AREAS

(a) You shall not upload to, or distribute or otherwise publish on to the Service any libelous, defamatory, obscene, pornographic, abusive, or otherwise illegal material.

(b) Be courteous. You agree that you will not threaten or verbally abuse other Members, use defamatory language, or deliberately disrupt discussions with repetitive messages, meaningless messages or "spam."

(c) Use respectful language. Like any community, the online conversation flourishes only when our Members feel welcome and safe. You agree not to use language that abuses or discriminates on the basis of race, religion, nationality, gender, sexual preference, age, region, disability, etc. Hate speech of any kind is grounds for immediate and permanent suspension of access to all or part of the Service.

(d) Personal attacks are a direct violation of these Terms of Service and are grounds for immediate and permanent suspension of access to all or part of the Service.

(e) The Service shall be used only in a noncommercial manner. You shall not, without the express approval of White Wolf Group, or PawsToTalk.com, distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services.

(f) You acknowledge that any submissions you make to the Service (i.e., user-generated content including but not limited to: blog postings, reviews, text, video, audio and photographs, as well as computer code and applications) (each, a 'Submission') may be edited, removed, modified, published, transmitted, and displayed by White Wolf Group or PawsToTalk.com and you waive any rights you may have in having the material altered or changed in a manner not agreeable to you. Submissions made to the Service may also be included in our RSS feeds, APIs and made available for republishing through other formats.

(g) You represent, warrant and covenant (a) that no materials of any kind submitted through your account will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or otherwise unlawful material; and (b) that you are at least thirteen years old.

(h) You grant White Wolf Group a perpetual, nonexclusive, world-wide, royalty free, sub-licensable license to the Submissions, which includes without limitation the right for PawsToTalk.com or any third party White Wolf Group designates, to use, copy, transmit, excerpt, publish, distribute, publicly display, publicly perform, create derivative works of, host, index, cache, tag, encode, modify and adapt (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies) in any form or media now known or hereinafter developed, any Submission posted by you on or to PawsToTalk.com or any other Web site owned by White Wolf Group, including any Submission posted on PawsToTalk.com through a third party.

(i) You are solely responsible for the content of your Submissions. However, while PawsToTalk.com does not and cannot review every Submission and is not responsible for the content of these messages, PawsToTalk.com reserves the right to delete, move, or edit Submissions that it, in its sole discretion, deems abusive, defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable.

(j) By making a Submission, you are consenting to its display on the site and for related online and offline promotional uses. (Effective as of date that site goes online).

DISCLAIMER

The PawsToTalk website is provided "as is" and without express or implied warranty. The operators disclaim all warranties as to the operation of the PawsToTalk website, the content, information, and good or services purchased through the site. To the extent permitted under law, we disclaim all implied warranties of merchantability, accuracy, fitness for a particular purpose title, and non-infringement. Without limiting the foregoing, White Wolf Group does not warrant that use of the PawsToTalk website will be uninterrupted, secure, or free from errors, viruses or other harmful components. Your use of the PawsToTalk website is solely at your risk.

Third-party websites linked to or from the PawsToTalk.com website are not controlled by the White Wolf Group. The White Wolf Group expressly disclaims responsibility for the content on third-party websites. You irrevocably waive any claim against the White Wolf Group and PawsToTalk.com regarding such third-party websites and content.

LIMITATION OF LIABILITY AND INDEMNIFICATION

You represent, warrant and covenant (a) that no materials of any kind submitted through your account will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or otherwise unlawful material; and (b) that you are at least thirteen years old. You hereby indemnify, defend and hold harmless White Wolf Group and PawsToTalk.com, and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of your account of these Terms of Service or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defense of any such claim. White Wolf Group reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

GENERAL

These Terms of Use of PawsToTalk shall be governed by the laws of the State of New York without regard to its conflict of law provisions. Any action relating to these Terms of Use will be brought exclusively in the federal or state courts located in White Plains and New City, New York and you consent to the personal jurisdiction of such courts. No failure or delay by White Wolf Group in exercising any right under these Terms of Use will operate as a waiver thereof. The invalidity or unenforceability of any provision of these Terms of Use will not affect the validity or enforceability of any other provision, all of which will remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the PawsToTalk website or these Terms of Use must be filed within one year after such claim or cause of action arose or be permanently barred. The section titles in these Terms of Use are for the convenience of the parties only and have no legal or contractual effect. These Terms of Use, including the Privacy Policy, incorporated herein by reference, represent the entire understanding of the parties regarding its subject matter, and supersede all prior and contemporaneous agreements and understandings between the parties regarding its subject matter. You shall not assign your rights or obligations hereunder without White Wolf Group's prior written consent.

Notwithstanding any of the foregoing, nothing in these Terms of Service will serve to preempt the promises made in the PawsToTalk.com privacy policy.

CLAIMS OF INFRINGEMENT OF COPYRIGHT MATERIAL

White Wolf Group respects the intellectual property of others and requires that our users to the same.

You Have Rights if You Believe Your Copyright is Being Infringed: If you are a copyright owner or agent thereof and believe that any of our content infringes upon your copyright, please submit notice, pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512 ©) to our Copyright Agent with the following information: (I) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright; (II) a description of the copyrighted work that you claim has been infringed; (III) the URL of the location containing the material that you claim is infringing; (IV) your address, telephone number, and email address; (V) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (VI) a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
